Brands grow through partnerships: a licensed product line, a private-label manufacturer, a distributor in a new market, a co-branded collaboration, or the sale of the business itself. Each of these deals hands over some control of the brand. We make sure the agreements say clearly who owns what, how the mark may be used, and what happens when the relationship ends.

What we handle

  • Trademark licenses. We draft and negotiate licenses with quality-control, approval and termination terms that keep the license valid and the brand consistent.

  • Private-label and manufacturing agreements. We clarify ownership of formulations, packaging and marks, and allocate responsibility for labeling and regulatory compliance.

  • Distribution and co-branding. We structure distribution, reseller and brand partnership agreements, including territory, online marketplace and pricing provisions.

  • IP diligence. We review trademark portfolios, chain of title, licenses and trade secret protections for buyers, sellers, lenders and investors.

  • Assignments and security interests. We prepare and record assignments, and handle the intellectual property provisions of purchase agreements and financings.

Deals in regulated industries

In health care and consumer products, brand deals often carry regulatory obligations: who is the manufacturer of record, who is responsible for label claims, and how complaints, adverse events and recalls are handled. We address those questions in the agreement, drawing on our firm's regulatory and corporate practices.
